Stephen D. Brook

Biography

Steve Brook has experience in a wide range of corporate transactional matters where he represents emerging to larger private and public companies across all industry sectors. He serves as general counsel to his corporate clients advising them on financings, governance, securities law compliance, joint ventures, strategic alliances, licensing, and general matters. He represents private equity and venture capital funds and family offices.

Steve regularly facilitates mergers and acquisitions (“M&A”) on behalf of both buyers and sellers, and as such he has a deep understanding of what drives both sides of a deal, which allows him to create practical solutions to get deals done.

Additionally, he has become widely recognized as a leader in counseling companies, C-suite executives, and management teams on executive compensation matters and has served as an expert witness on such matters.

Experience

  • Advised emerging companies and financial investors in seed, early-stage, and late-stage venture capital and private equity financings. 
  • Closed countless buy and sell side middle market M&A transactions throughout the course of career.
  • Provided executive compensation and counseling for companies, CEOs, and other C- and E-suite executives at Fortune 100, Fortune 500, and multinational companies in technology, fashion, healthcare, media (including social), finance, retail, entertainment, transportation, and communications.
  • Clients include unicorns on the CNBC Disrupter 50 List and a recently retired NFL quarterback’s (considered the greatest of all time) brand and investment company.
