Robert Y. Chow

Biography

Robert Chow provides actionable legal advice to entrepreneurs, emerging growth companies, and venture investors on general corporate, securities, mergers and acquisitions (“M&A”), strategic alliance, licensing, and commercial matters.

Rob also focuses on serving middle-market private equity clients in both buy-side and sell-side transactions. In his private equity work, he focuses on closing deals swiftly and efficiently while helping clients avoid undue risks.

Rob believes there is nothing more exciting in the corporate practice than M&A, whether it be on the sell side helping management and investors structure deals to achieve liquidity on a tax-efficient basis or on the buy side helping buyers quickly identify and mitigate risks in the businesses they are acquiring and close deals in a fast and cost-effective manner. Every new deal brings unique challenges, and Rob enjoys coming up with ways to overcome them.

Rob is uniquely positioned as a corporate attorney with an insider’s perspective. Earlier in his career, Rob was in-house general counsel at a tech company and the only lawyer among hundreds of employees. He understands how legal advice “competes” with many other non-legal concerns that businesses face, such as winning key customers, maintaining goodwill with partners, and managing costs. Robert strives to provide advice that is both practical and actionable.

Experience

Representation of companies in connection with merger and acquisition transactions, including.

  • Represented an industry leader in K12 assessment and analytics in its sale to an education technology company.
  • Represents an investment firm focused on building market-leading software-as-a-service and recurring revenue businesses on buy-side transactions for the fund as well as the fund’s portfolio companies.
  • Represented an industry leader in K12 assessment and analytics in connection with its acquisition by a private equity fund and seven subsequent bolt-on acquisitions over a five-year period.
  • Outside corporate counsel for healthcare, funding, medical technology, environmental, media, and life science companies, among others.
  • Representation of venture capital funds in their investments in portfolio companies.

Outside of work, Robert serves on a pro bono basis as outside general counsel for The Record Company, a Boston-based nonprofit dedicated to providing musicians in Boston with the resources and support for making music, such as recording studios and rehearsal spaces, at below-market rates.
