Stephen H. Alpert

Biography

Stephen Alpert represents asset-based and commercial lenders in the structuring, documentation, and closing of secured asset-based and cash flow financing transactions, loan workouts and restructurings, and liquidations. His clients include major money center banks, foreign banks and their U.S. subsidiaries, investment banks, commercial finance companies, asset-based lenders of national and regional standing, private credit funds, and hedge funds.

Stephen’s extensive finance experience includes representing clients with respect to syndicated credit facilities, M&A financings, multi-tranche split collateral, first-lien/second-lien senior and subordinated debt intercreditor agreements, unitranche financings, cross-border financings, and Chapter 11 DIP and Chapter 11 exit financings.

Outside the Firm

Stephen has passionate interests in a broad range of music and plays and studies piano. He is equally passionate about his various athletic pursuits, including road cycling and skiing. His principal reading interests are history and biography.

  •  A national bank, as agent and revolving lender, in a Chapter 11 exit financing provided to affiliated companies conducting worldwide mining operations, including split lien intercreditor arrangement with second-lien term debt holders.
  • A national bank, as agent and lender, in connection with the acquisition and working capital financing of a market-leading manufacturer and vendor of LED light bulbs and other lighting products.
  • A national bank, as agent, revolving, and term lender, in a unitranche credit facility provided to a “last mile” logistics company.
  • A national bank, as agent, arranger, and revolving and term lender, in a syndicated credit facility providing acquisition financing to sponsor portfolio companies in the business of complex electronics manufacturing and design services.
  • A private credit fund, as agent and term lender, in a syndicated credit facility providing acquisition financing to sponsor portfolio companies serving as mechanical contractors for military installations.
  • A limited partnership formed by a private equity fund, serving as a co-lender in bridge financing provided to a startup insurance company.
  • A financial institution, in connection with term loan financing of a hedge fund’s acquisition of a participating interest in a revenue stream arising from a casino development litigation settlement agreement.
  • A financial institution, as agent, lender and arranger, in a syndicated Chapter 11 exit financing provided to affiliated global defense aviation and civil aviation companies, including intercreditor arrangement with second-lien term debt holders.
  • A national bank, as agent, in a secured revolving credit facility and deferred term loan facility to a leading manufacturer of cotton denim apparel with U.S. and Central America operations, including intercreditor arrangement with second-lien term loan lender.
  • The lead arranger and agent in a syndicated secured revolving credit facility to a provider of security services to the U.S. military and private industry.
  • A national bank, as agent and sole lender, in a secured revolving credit facility to a domestic manufacturer and distributor of specialty watches and its Hong Kong affiliate.
  • A national bank, as agent and sole lender, in a secured acquisition financing and revolving credit facility to a worldwide leader in the manufacture of specialty machining tools, including a sub-facility guaranteed by the U.S. Export-Import Bank.
  • The lead arranger and agent in a syndicated secured revolving credit facility to an oilfield services contractor that provides drilling and production-related services to oil and natural gas companies.
  • A national bank, as agent and sole lender, in a secured revolving credit facility to a domestic auto parts manufacturer, including a sub-facility guaranteed by the U.S. Export-Import Bank.
  • The lead arranger and agent in a secured revolving credit, term loan A, term loan B, and factoring facility provided to a leading manufacturer of women’s apparel in the United States and Canada.

Professional Activities

Stephen has served for more than 10 years on the board of directors for the Stamford Symphony Orchestra in Stamford, Connecticut and is vice-chairman of the board. Stamford Symphony Orchestra is one of the outstanding orchestras in the country, comprised of New York City-based musicians who perform with the New York Philharmonic and other premier orchestras.
