Carol Gershon represents clients in a wide array of commercial financing transactions, including construction loans, preferred equity, loan modifications and work-outs, and mortgage financing. Transactions include multifamily, hospitality, amusement parks, warehouse, office, and senior living facilities (including independent living, memory care, and skilled nursing facilities). She negotiates, reviews, and drafts a broad range of commercial contracts, including intercreditor agreements, third party consultant contracts, management agreements, purchase and sale agreements, and commercial leases.
Carol also advises clients on organizational structuring and draft organizational documents, as well as identifies potential issues with respect to tax, local law or environmental compliance.
While in law school, Carol served as Managing Editor of the Rutgers Journal of Law and Religion and as a member of the Hunter Moot Court Board. She was the recipient of many awards, including the “Best Brief” honors at the National Moot Court Competition, Region III, Best Oralist and Overall Winner in the Hunter Moot Court Competition and the Center for Forensic Studies Excellence in Litigation Award. Carol received an Excellence Award from the Pennsylvania Legal Aid Network in 2010 and Volunteer of the Year from Pro Bono Partnership in 2018.
