Blank Rome has served as lead transactional counsel for a number of significant clients, including chemical and pharmaceutical clients in connection with the purchase and sale of assets or stock.  Our attorneys have coordinated and participated in all transaction activities, including:

  • development and assembly of due-diligence data rooms
  • development of asset-auction standards and procedures, and preparation and review of asset-auction documentation (including confidentiality agreements and bidder instruction letters)
  • preparation and negotiation of purchase and sale agreements
  • coordination of regulatory filings
  • coordination of sale closing activities, including preparation of closing instruments, certificates, and opinions. 

Select Engagements

  • Represented the purchaser of a pharmaceutical facility that was being divested from the main pharmaceutical company.  Served as lead counsel in the negotiation of the asset purchase agreement, as well as the negotiation of the loan documents.  Blank Rome provided counsel throughout the due-diligence process and the necessary opinions required for closing.
  • Represented a large pharmaceutical company in connection with its divestiture and the sale of its assets.  Served as lead counsel in the negotiation of the sale agreement and assisted the client in the management of the due-diligence process.
  • Represented investors in the acquisition of a joint-venture chemical business that was part of two larger chemical companies’ operations.  Blank Rome negotiated a letter of intent, as well as the purchase agreement and loan agreement, and coordinated the due-diligence process to identify legacy liabilities associated with the predecessors to the joint-venture company.
  • Assisted a major chemical company in the acquisition of a coke battery, and provided tax, real estate, and environmental counsel in order to ensure a successful transaction.
