Michael S. Swoyer concentrates his practice in general corporate and business matters. He has represented clients in connection with a wide range of corporate and commercial transactions, including: mergers & acquisitions, secured and unsecured financings, refinancings, reorganizations, stock issuances, conversions, domestications, divestitures, formations, dissolutions, and ratifications of defective corporate acts. Mr. Swoyer also regularly advises clients on issues related to the governance of corporations, limited liability companies, and partnerships. 

Prior to joining the firm, Mr. Swoyer was an associate with a Delaware corporate transactional law firm. He also served as law clerk to former Justice Henry duPont Ridgely and Justice James T. Vaughn, Jr. of the Delaware Supreme Court. 

During law school, Mr. Swoyer served as articles editor of the Delaware Journal of Corporate Law, team negotiator for the Transactional Law Competition Team, internal manager of the transactional Law Honor Society, and a Delaware Supreme Court Wolcott Fellow. 

Mr. Swoyer has also published several articles on various issues regarding corporate and alternative entity law. 

Mr. Swoyer is a member of the Business Law and International Law sections of the American Bar Association, as well as the Young Lawyers Committee of the International Bar Association.
